Si la jurisprudence administrative et constitutionnelle a toujours refusé de reconnaître le caractère fondamental du "droit à la sécurité" lui préférant une certaine "fondamentalité", les principes directeurs du code de la sécurité intérieure ou le développement des politiques en matière de sécurité urbaine depuis le milieu des années 90 consacrent cependant, non seulement l'existence d'un droit "fondamental", mais plus encore "d'une [..] condition de l'exercice des libertés individuelles et collectives" (article 1, loi du 21 janvier 1995). L'émergence des technologies du numérique et les progrès qu'elles engendrent (le "Big Data"), le développement de nouvelles menaces diffusées par ces nouveaux vecteurs (cyber-djihaddisme, cyber-guerre, cybercriminalité) amènent aujourd'hui à repenser les rapports existant entre sécurité d'un nouvel espace et liberté dématérialisée, contrôle d'une activité et protection d'une innovation. Plus encore, elle pose la question subsidiaire mais néanmoins fondamentale du choix que la société est prête à privilégier à l'heure ou la question de la régulation de l'activité numérique est d'actualité (le projet de loi sur le renseignement), les menaces virtuelles ancrées dans la réalité...

By this,it aims at the understanding of the factors that determine the functional actor to consent to securitization, since this category of actor has been left untheorized, despite of its key role in the securitization process. The departure point is a question that the authors of the securitization theory, themselves address: “When does an argument [...] achieve sufficient effect to make an audience tolerate violations of rules that would otherwise have to be obeyed? [...] For individuals and groups to speak security does not guarantee success” as “securitization is not decided by the securitizer, but by the audience of the speech act.” (Buzan 1998:25,31) The only stipulation refers to the functional actor’s power to materialize securitization, being neither the referent object, nor the securitizing actor. The deficiency of theorization has impelled a social psychological elaboration of the functional actor’s distinguishing features that causes it to accept the securitizing act, since the absence of details in this respect leaves much space for interpretation, and leads to the investment of resources, when securitization analysis should not be centered upon the establishment of the actors, but upon the process and dynamics of securitization.

It is set up in a way that the corporate treasury, which has the responsibility for a diversified and economically optimized liability side and hence has a natural interest in new funding alternatives, can get an understanding for the instrument as such. Moreover, a treasurer shall be enabled to assess whether the balance sheet of his company comprises IP assets that have the potential to serve as collateral for a securitization. In case this asset identification process leads to positive results, the thesis additionally points out the crucial issues that have to be faced and analyzed before structuring this type of transaction. Although primarily focused on the corporate treasury’s needs, this thesis also gives other interested readers a holistic view of risks, benefits and economic impacts of an IP backed securitization. To fully understand the whole concept, perspectives need to be switched from time to time, e.g. to understand rating agencies’ or investors’ concerns which in turns lead to certain structuring issues for the originator. [...] This paper is structured in a way that allows readers to put themselves into the position of a corporate treasurer and to understand all associated issues of IP securitization in a target oriented order. Hence, before taking a closer look at IP and securitization in general, it is crucial to discuss the challenges in the corporate treasury’s daily work in section 2. As the respective asset class is the key to the understanding of its securitization, section 3 clarifies basics of IP and introduces its different forms. This is of special importance as IP is characterized by an extreme heterogeneity of the different asset types which makes one of the prime differences compared to traditional securitization.
